Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Not Yet Yeti ("NYY", "we", "us", or "our") B2B gaming platform, website, API, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Definitions

• "Operator": Licensed gaming operator or aggregator using NYY Services
• "End User": Player accessing NYY games through Operator's platform
• "Content": All games, software, graphics, text, and materials provided by NYY
• "API": Application Programming Interface for integration
• "Commercial Agreement": Separate licensing agreement between NYY and Operator

2. Eligibility

To use our Services, you must:

• ✓ Be a legally registered business entity
• ✓ Hold valid gaming licenses in your jurisdiction(s) of operation
• ✓ Have the authority to enter binding contracts
• ✓ Comply with all applicable gambling laws and regulations
• ✓ Be 18+ years of age (individual representatives)

3. License Grant

3.1 Limited License

Subject to these Terms and a signed Commercial Agreement, NYY grants you a non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations.

3.2 Restrictions

You may NOT:

• ✗ Reverse engineer, decompile, or disassemble our software
• ✗ Remove or alter proprietary notices, logos, or branding
• ✗ Sublicense, resell, or redistribute our Services without written consent
• ✗ Use Services for illegal activities or unauthorized jurisdictions
• ✗ Attempt to gain unauthorized access to our systems
• ✗ Copy, reproduce, or create derivative works of our games

4. Account & API Access

4.1 Account Security

You are responsible for maintaining the confidentiality of your API keys, credentials, and account information. Notify us immediately of any unauthorized access at [email protected].

4.2 API Usage Limits

• • Rate limits as specified in your Commercial Agreement
• • Fair use policy applies (no abusive patterns)
• • We reserve the right to throttle or suspend API access for violations

5. Payment Terms

5.1 Fees

Pricing is defined in your Commercial Agreement (Revenue Share, Fixed License, or Hybrid). See our Pricing Page for standard rates.

5.2 Payment Schedule

• • Revenue Share: Monthly settlement (NET 15)
• • Fixed License: Paid monthly/quarterly/annually in advance
• • Late Payments: 1.5% monthly interest on overdue amounts
• • Currency: USD or EUR as agreed

5.3 Taxes

Fees exclude VAT, GST, and other applicable taxes. You are responsible for all taxes associated with your use of Services.

6. Compliance & Responsible Gaming

6.2 Prohibited Use

You may NOT offer NYY games in:

• ✗ Unlicensed or "gray market" jurisdictions
• ✗ Territories where NYY lacks certification (check Compliance page)
• ✗ Any manner that violates local gambling laws

7. Intellectual Property

7.1 NYY Ownership

All Content, software, trademarks, logos, and intellectual property remain the exclusive property of NYY. No ownership rights are transferred under these Terms.

7.2 White-Label Branding

White-label customization rights (colors, logos) are granted per your Commercial Agreement. You may not rebrand games as your own original content.

7.3 Feedback

Any feedback, suggestions, or ideas you provide become property of NYY without compensation or attribution.

9.1 NYY Warranties

We warrant that:

• ✓ Services will function substantially as described
• ✓ We have rights to license all Content
• ✓ Games meet certified RTP specifications
• ✓ We maintain appropriate security measures

You agree to indemnify and hold harmless NYY from claims arising from:

12. Termination

12.1 By Operator

You may terminate your account with 30 days' written notice (email to [email protected]). Prepaid fees are non-refundable.

12.2 By NYY

We may suspend or terminate Services immediately if:

• • You breach these Terms or Commercial Agreement
• • Your licenses expire or are revoked
• • We detect fraudulent activity
• • Required by law or regulatory authority
• • Non-payment for 15+ days

12.3 Effect of Termination

Upon termination: API access revoked immediately, all games disabled, outstanding fees due within 15 days, confidential information returned/destroyed.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of [Malta / UK / Your Jurisdiction], without regard to conflict of law principles.

13.2 Arbitration

Disputes shall be resolved through binding arbitration under [ICC / LCIA / AAA] rules. Arbitration venue: [Malta / London / Neutral Location].

13.3 Exceptions

Either party may seek injunctive relief in court for IP infringement or breach of confidentiality.

14. Miscellaneous

• Entire Agreement: These Terms + Commercial Agreement constitute the full agreement
• Amendments: NYY may modify Terms with 30 days' notice (continued use = acceptance)
• Assignment: You may not assign rights without written consent
• Force Majeure: Neither party liable for delays due to events beyond reasonable control
• Severability: Invalid provisions do not affect remaining Terms
• No Waiver: Failure to enforce does not waive future enforcement
